Terms of Service

1. Agreement to Terms

By accessing or using Compsheet ("the Service"), operated by SaaSFlow Holdings ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including account administrators and sales representatives.

2. Description of Service

Compsheet is a cloud-based sales commission tracking and management platform. It allows sales managers to configure compensation plans, track rep performance, and calculate commission payouts. Sales representatives can log activities, monitor quota attainment, and view earnings in real time.

3. Accounts and Access

Account administrators are responsible for maintaining the security of their credentials and managing access for their team members. You agree to:

  • Provide accurate and complete information when creating an account
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access at support@compsheet.io
  • Take responsibility for all activity that occurs under your account

4. Subscriptions and Billing

Compsheet is offered on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

  • Base plan: $19.99/month, includes 1 admin seat and up to 3 rep seats
  • Additional seats: $4.99/month per seat beyond the base plan
  • Subscriptions renew automatically on the same date each month
  • All fees are in USD and are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice to your registered email

5. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. We do not provide prorated refunds for partial months.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or otherwise attempt to extract source code
  • Use the Service to store or transmit malicious code
  • Resell or sublicense the Service without written permission
  • Use automated tools to scrape, crawl, or overload the Service

7. Your Data

You retain ownership of all data you input into Compsheet, including sales activities, compensation plans, and rep information. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service. We do not sell your data to third parties.

Upon cancellation, you may request an export of your data within 30 days. After that period, we may delete your data from our systems.

8. Intellectual Property

The Compsheet platform, including its design, code, branding, and features, is owned by SaaSFlow Holdings and protected by applicable intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, SaaSFlow Holdings shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Our total liability to you for any claims arising under these terms shall not exceed the amount you paid us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless SaaSFlow Holdings and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

12. Modifications to Terms

We may update these terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
